Just finished reading this:
The same types of considerations as were discussed in the asset purchase transaction part of this Chapter would be relevant in detemining whether the purchase price is payable in cash, cash plus a promise to pay, or on an earn-out basis. The most obvious security for the unpaid purchase price in a share purchase transaction is a pedge of the purchased shares. If a pledge is taken, possession of the share certificates representing the shares should be taken to perfect the security interest under the PPSA.
Clearly, I need distraction.
